Pedlam Risk Management Limited (PRM) - Terms of business

1. engagement : the supply of consultancy services by PRM will be subject to these terms which will be deemed to apply in the event of conflict with any other terms. 

2. warranty : PRM undertakes to provide advice in good faith, with all reasonable skill and care and to high professional standards.

3. estimates : any quotation or estimate will remain valid for a period of thirty days from the date issued.

4. expenses : no additional expenses will be charged except for travel, accommodation and other expenses reasonably incurred on your behalf. .Expenses for travelling to your offices will not normally be charged.

5. payment terms : payment of fees will be due no later than seven days from the date of invoice, together with value added or other taxes at the applicable rate.

6. cancellation : either party may terminate the engagement on giving not less than thirty days written notice. Fees and expenses for work properly carried out will be payable in such event.

7. limitation of liability : to the extent permitted by law, PRM will not be liable (whether in contract, tort, negligence, breach of statutory duty or otherwise) for an amount exceeding the fees paid for services provided by PRM in the calendar year in which the claim arises. PRM will not be liable for indirect or consequential loss or for loss of profit.

8. confidentiality : each party will respect the confidential commercial, technical, financial and other information of a sensitive nature of the other. Neither party will use or disclose such information other than for the proper performance of the services to be provided. These restrictions will not apply to information which is rightfully in the public domain. Information may be sent by e-mail which may be less secure than other means.

9. governing law : these terms will be governed by and construed in accordance with English law and any dispute will be submitted to the non-exclusive jurisdiction of the English courts.

10. general : these terms and any specific terms of engagement constitute the entire agreement between the parties relating to their subject matter. No variation will be binding unless agreed to in writing. Pedlam Risk Managment Limited is registered in England under number 7959509 with its registered office at Pedlam Brook, West Peckham, Maidstone, Kent ME18 5JS. Where appropriate clients will be recommended to take advice from a qualified solicitor in the case of areas covered by the Solicitors Regulation Authority. V3 1/14
